(a) The Board of Trustees (the "Board") shall be the governing body vested with the authority and responsibility for overseeing the management, policies, and overall direction of the Academy.

(b) The Board shall consist of no fewer than 3 and no more than 5 Trustees, as fixed by resolution of the chairman.

(c) Trustees shall be elected by the chairman, serving terms of [term length] years, with term staggering designed to maintain continuity.

(d) Trustees shall act in the best interests of the Academy, exercising their duties with care, loyalty, and good faith.

(e) The Board shall govern the Academy as set forth herein, except during the initial three-year startup period as described in Article 2.6.

(f) The Board shall review the governance structure annually and may delegate powers as described in Article 2.6.

(a) The Board shall elect from among its members the Trustee Officers: Chair, Vice Chair, Secretary/Treasurer, and Chair Emeritus.

(b) Trustee Officers shall serve terms of [term length] years and may be re-elected for consecutive terms as determined by the Board.

(c) Each Trustee Officer shall perform the duties customary to their office and any other duties assigned by the Board or these Bylaws.
